The = WHC=20 Physician-Hospital Organization has focused its efforts in the last year = on=20 advancing its
position in the=20 managed care environment at Washington Hospital Center and among its = physicians.=20
In = concert with=20 our mission, we have used our relationships within the payor environment = to
increase=20 professional services reimbursement to our physicians, and have = diligently=20 worked to provide
value-added=20 channels for communication at Washington Hospital Center and among our=20 practitioner
members. Our=20 mission: to serve the needs of our physician and hospital = members=E2=80=94and=20 their
patients=E2=80=94by=20 being a vehicle for collaboration that allows the delivery system to = become more=20 inte-
grated. In doing=20 so, we strive to improve the market and financial position=E2=80=94with = special emphasis=20 on
managed care=E2=80=94for=20 all of the organization=E2=80=99s members.
In the = upcoming=20 year, we will continue to focus our efforts in these areas, including=20 e-communi-
cation = efforts=20 via the internet and enhancement and maintenance of the new provider=20 website.
Operationally,=20 we will complete implementation of the infrastructure improvements to = our=20 claims
processing and=20 credentialing systems that will benefit our existing administration of = global=20 case rate
agreements and=20 contracting and credentialing services respectively. We will continue = the=20 ongoing
analysis, and=20 re-contracting efforts that resulted in significant managed care plan=20 reimbursement
increases to our=20 physicians this past year. Strategically, we will focus = efforts
on = evaluating=20 managed care plan payment policies and procedures that
impact = reimbursement, for example, appropriate payer recognition = of
billing=20 modifiers and other usual CPT coding guidelines; and, we
will = continue to=20 evaluate payer compliance with negotiated pay-
ment = and=20 operational terms. Today, our network is composed
of = more than 550=20 physicians and practitioners
across = all=20 specialties, in partnership with
Washington=20 Hospital Center. As

of = MedStar=20 Health, the largest healthcare system in the Baltimore-Washington = region, the=20
WHC-PHO helps to=20 create significant leverage for the system, as well as benefiting from=20 the
system=E2=80=99s=20 leverage.
In = addition to=20 planning the new initiatives discussed above, this year the WHC-PHO=20 operated
two = distinct=20 lines of business with managed care organizations:
=E2=80=9Cbrokered=E2=80=9D full=20 service agreements encompassing both hospital and physician=20 services=E2=80=94
contracting with=20 more than a dozen payors and collectively generating approximately = 112,000=20
primary care=20 physician visits; 66,600 specialist encounters; 23,300 outpatient = procedures;=20
and, = 2,725=20 inpatient admissions at Washington Hospital Center; and
at-risk center=20 of excellence global cardiac case rate agreements contracting with six = payors=20
and = generating=20 over $23 million in revenue.
Finally, we=20 continued to offer value-added services for our membership, including=20 credentialing
services, a=20 professional liability insurance program, and educational programs = focused on=20 managed
care = and=20 practice management topics.
As we = look to=20 the future, we feel that our organization is poised to both continue to = enhance=20 our
ongoing=20 operations, as well as develop new capabilities and offerings, in = response to=20 the needs of our
members as they=20 face ever-evolving market conditions. Our staff will continue working to = reduce=20 the
administrative=20 burden placed by managed care plans on our medical = practitioners=E2=80=94from=20 negotiating
and = implementing=20 contracts, credentialing and continuing education programs, to = utilization=20 and

In = November,=20 2001, WellPoint and CareFirst
jointly=20 announced a definitive agreement to
merge. = Although=20 at this time, merger activity has
halted = for the=20 Delaware component of the
CareFirst=20 network, the merger application process
is = still=20 underway in Maryland and the District of
Columbia. In=20 order for the merger to move for-
ward, = CareFirst=20 must gain permission in Maryland
and = the District=20 of Columbia to privatize its oper-
ation. = These=20 efforts have met with significant
opposition, and=20 the merger=E2=80=99s future is as yet
unclear. The=20 Medical Society of the District of
Columbia and the=20 D.C. Hospital organization
have = publicly=20 announced their opposition to the
WellPoint=20 acquisition of CareFirst. A successful
merger = would=20 represent a combined WellPoint
membership of=20 more than 15 million members.
Anthem/Trigon=20 BlueCross BluShield of Virginia
Although Trigon=20 is already a publicly traded
BlueCross=20 BlueShield licensee, the Trigon-An-
them = merger adds=20 2.2 million customers to An-
them, = firmly=20 placing it as the fifth largest publicly
traded = health=20 benefits company in the country.
With = the=20 addition of Trigon, Anthem will be the
BlueCross=20 BlueShield licensee for nine states, ser-
ving = more than=20 10 million members. Immediately
south = of our=20 primary service area, Anthem is now
a = formidable=20 player within our region.
Universal=E2=80=99s=20 New Hospital in Washington D.C.
In = 1997,=20 Universal Health Services, the nation=E2=80=99s
third = largest=20 hospital management company, and the
George = Washington University Hospital formed a
partnership to=20 own and operate the existing hospi-
tal. = The=20 partnership included a commitment by
Universal to=20 build a new hospital facility. Located in
the = downtown=20 area of Washington, the George
Washington=20 University Hospital currently benefits
from = proximity=20 to some high profile patients includ-
ing = politicians=20 and other celebrities. The new 380
bed = hospital=20 opened its doors on August 24, 2002.
WHC-PHO:=20 Strength in Numbers
From = its=20 inception, the WHC-PHO has served
as a = vehicle for=20 the administrative leadership of
Washington=20 Hospital Center and the members
of the = Medical=20 and Dental Staff to embrace the
development of=20 creative strategies to foster
mutual = success=20 in the managed care environ-
ment. = Those=20 strategies have resulted in a collec-
tion = of=20 contracts that bring significant business
to = WHC-PHO=20 members. And our strategies
continue to=20 evolve along with our environment.
The = full-service=20 agreements brokered by the
WHC-PHO continue=20 to ensure that a steady
volume = of=20 managed care members seek care
from = WHC-PHO=20 practitioners. The number of
these = contracts=20 recently increased to twelve.
Figure = 1 (see=20 page 3) estimates the patient vol-
umes = represented=20 by these contracts.
Center = of=20 excellence global case rate agreements
have = also=20 continued to bring significant patient vol-
umes = to the=20 WHC-PHO membership. All mem-
bers=E2=80=94whether the=20 cardiologists and cardiac sur-
geons = that are=20 most directly affected, or the special-
ists = who are=20 only occasionally involved but are still
included in the=20 global case rate payment=E2=80=94benefit
from = the center=20 of excellence referral patterns estab-
lished = by these=20 contracts. Figure 2 summarizes the
volume = of cases=20 represented by these contracts.
The = WHC-PHO=E2=80=99s=20 global agreements to pro-
vide = full=20 service psychiatric services were ended
this = year for=20 reasons discussed later in this report

Center of=20 excellence contracts package all pro-
fessional=20 (physician) and technical (hospital-
related) fees=20 into one flat rate for specific proce-
dures = and=20 follow-up care. The WHC-PHO is
responsible for=20 billing, claims processing,
provider=20 payment and utilization management.
Using = the=20 WHC-PHO=E2=80=99s revenue distribution
model = and=20 conducting retrospective analyses of
cost = and=20 utilization allows us to provide incen-
tive=20 compensation payments where savings exist.
Our = information=20 system helps us to align incen-
tives = so that=20 the entire partnership benefits from
these = specialty=20 contracts.
Through=20 aggressive discharge planning, uti-
lization=20 review, and case management, the
Hospital=20 Center=E2=80=99s clinical teams have substantial-
ly = reduced the=20 average length of stay for patients
across all=20 service categories. This result has been
accomplished=20 through a collaborative effort
between the=20 Hospital Center=E2=80=99s in-house staff,
the = health plan=20 case managers, and private physi-
cians = who=20 participate in the various managed
care = networks.=20 As part of WHC=E2=80=99s continued
efforts to=20 reduce its cost structure, the Hospital
hired = Dr.=20 Barbara Meyers to assist with enhanc-
ing = the=20 efficiency of discharge planning while
maintaining the=20 highest quality patient care. Dr.
Meyers is a=20 well-respected and experienced
physician=20 specializing in general internal medi-
cine = who has=20 most recently served as a Medical
Director with=20 Aetna Healthcare. She joined the
Washington=20 Hospital Center team early in calen-
dar = year=20 2002.
Cardiac Center=20 of Excellence
During the last=20 year, more than 1,900 patients
have = received=20 care under five cardiac global case
rate = contracts=20 at Washington Hospital Center.
Under = most=20 contracts, covered services include
cardiac bypass=20 and valve surgery, cardiac
catheterization=20 and PTCA/angioplasty. All
WHC-PHO=20 cardiologists and cardiothoracic
surgeons=20 participate in these agreements and
have = earned the=20 distinction of preferred
providers. This=20 distinction extends to anesthesia,
surgical=20 critical care, radiology, pathology and
other = consultant services provided to cardiac
patients.
Behavioral=20 Health Center of Excellence
During the past=20 year, the WHC-PHO identified
numerous=20 reimbursement issues under the PHO
agreement with=20 Magellan Behavioral Health,
and = determined=20 that the agreement must be ter-
minated. The=20 agreement thus ended effective
April = 8, 2002.=20 We expect that we will continue
to = care for=20 these members directly through the
CareFirst=20 agreement.
The = Value=20 Options agreement also ended this
year, = when=20 Value lost its significant relationship
with = CareFirst,=20 effective July 1, 2002. However,
the=20 relationship with NCPPO (also through
Value) for the=20 provision of mental health servic-
es at = the=20 Washington Hospital Center continues
directly=20 through the WHC-PHO agreement
with=20 UniCare/NCPPO.
Prior = to=20 termination of the agreements,
approximately=20 200 patients received services
through the=20 arrangement.
Center = of=20 Excellence
Global = Case Rate=20 Program
From the=20 outset, an important goal for the WHC-PHO was to position the=20 Hospital
Center and=20 its physicians to participate in risk-based financial agreements. Center =
of = excellence=20 agreements allow the WHC-PHO to promote its physician panel and=20 the
high-quality=20 services available at the Hospital Center as providers of choice, while = at the=20 same
time=20 offering its members the opportunity to benefit from initiatives to = improve=20 efficiency.
Improvements to=20 Rates and Terms for
Full = Service=20 Agreements
Work = continued=20 this past year to improve the
WHC-PHO full=20 service agreements with regard
to = payment=20 levels, processes, service quality, as
well = as other=20 areas. These efforts brought excel-
lent = results=20 particularly in the area of increased
payment.=20 Effective August 2001, CIGNA PPO
payment rates=20 were adjusted upward. When
WHC-PHO=20 initially contracted with CIGNA
PPO = in 1996,=20 payment rates were favorable
compared to a=20 Medicare benchmark. Over time,
however, many=20 Medicare rates increased (partic-
ularly for E+M=20 codes), while CIGNA=E2=80=99s held
steady, with=20 the net result being that payments
for = many=20 services had fallen below Medicare lev-
els. = Averaged=20 across all CPT codes, the revised
fee = schedule is=20 now substantially above Medicare
payment rates.=20 Also this year, Cigna eliminated
their = gastroenterology network, thus all WHC-
PHO=20 Gastroenterologists may see Cigna PPO
members=20 although rates may not be as high as
the = new=20 significantly increased 2002 Medicare
rates = for these=20 services.
In = December,=20 2001, two key changes were
made = to the=20 1998 agreement with First Health,
a = national=20 broker model PPO. Payment rates for
procedures were=20 increased by 10% and were
already at a=20 level substantially above Medicare
rates.=20 Evaluation and Management (E&M)
codes = were=20 previously increased early in 2001.
Thus = all First=20 Health rates are substantially above
current=20 Medicare. Additionally, the 10% dis-
count = on=20 workers=E2=80=99 compensation payments was
further reduced=20 to 5%. WHC-PHO physicians
continue to=20 have the ability to opt-out of First
Health=E2=80=99s=20 workers=E2=80=99 compensation product.
NCPPO = (UniCare=20 ) professional reimburse-
ment = rates were=20 increased effective December 1,
2001 = from=20 approximately Medicare to a level
significantly=20 above current Medicare rates.
Revised rates=20 were also negotiated with
United=20 Healthcare of the Mid-Atlantic. The new
rates = were=20 effective June 1, 2002. The new rates
for = Evaluation=20 and Management (E&M) codes
are = moderately=20 above Medicare while the rates
for = non-E&M=20 procedures are higher. This tiered
rating approach=20 addresses the changes to the
disproportionate=20 changes in Medicare rates,
In = addition to=20 re-negotiations, two new full
service=20 agreements were signed this year. The first
was = with=20 Humana=E2=80=99s ChoiceCare PPO Network.
Although plan=20 membership is relatively small at
this = time,=20 payment rates are significantly above
Medicare=20 payment rates, and Humana anticipates
growth over=20 time. An agreement with Private
Healthcare=20 Systems was also implemented. Private
Healthcare=20 Systems is a large national PPO payer
with=20 significant presence in the Washington, D.C.
area. = Professional reimbursement rates for this
PPO = product are=20 significantly above current
Medicare=20 reimbursement rates.

Full = Service=20 and Delegated
Credentialing=20 Agreements
The full=20 service agreements held by WHC-PHO bring a significant
volume of=20 patients to participating physicians and the Hospital Center. In the = last=20
year, we=20 worked to further streamline our credentialing processes, and introduced =
an = automated=20 Provider Tracking Credentialing Database that assists all users in=20
monitoring=20 necessary activity in order to expcdite credentialing and provider=20 number
assignment=20 procedures. The WHC-PHO=E2=80=99s delegated credentialing agreements = offer=20 one
of = the=20 greatest benefits to WHC-PHO members: the ability=E2=80=94through = completion of=20 a
single=20 WHC-PHO re-credentialing application every three years=E2=80=94to = participate as=20 a
credentialed=20 provider with at least twelve different health=20 plans.

Credentialing=20 Program
Maintaining a=20 comprehensive, high-quality
panel = with=20 rigorous credentialing ensures that
all = physician=20 members meet the high standards
of = this=20 organization. In turn, these high stan-
dards = put the=20 organization in a strong negotiat-
ing = position as=20 new contracting opportunities
arise. The=20 capacity to document the diversity
and = quality of=20 our panel is one of the WHC-
PHO=E2=80=99s key=20 assets.
Because the=20 WHC-PHO credentialing pro-
cess = is so=20 comprehensive and follows NCQA
guidelines, all=20 of the WHC-PHO contracted
health plans=20 have delegated credentialing re-
sponsibility to=20 our organization. Our efficient
and = effective=20 management of this
process is a=20 significant member
benefit, in=20 that member physi-
cians = are not=20 required to
submit detailed=20 infor-
mation to each=20 of
the = multiple=20 payors with which the WHC-PHO
has = contracted.=20 Instead, submission of one cre-
dentialing or=20 re-credentialing application to
WHC-PHO is all=20 that is required. WHC-PHO,
in = turn,=20 communicates all needed information to
each = of the=20 contracted health plans.
During 2002 and=20 2003, WHC-PHO intends
to = complete=20 migration from its current access-
based = data base=20 to the new WHC Medical Affairs
ECHO = database.=20 This effort will increase integra-
tion = and=20 consistency between the Medical Affairs
and = PHO=20 credentialing programs, and should
expedite the=20 overall credentialing and provider
number=20 processes. This effort will also assist us in
preparation for=20 possible NCQA accreditation in
the = future.=20 These efforts, together with implemen-
tation of a=20 newly developed provider number
tracking=20 database, will
assist all=20 participants
to = better=20 manage
the = processes=20 in a
timely=20 manner.
Malpractice=20 Insurance
WHC-PHO=20 sponsors a voluntary professional
liability=20 insurance program for participating
practitioners=20 that offers excellent coverage with
savings to most=20 participants. More than fifty
WHC-PHO Class I=20 members currently partici-
pate = in the=20 program, managed by Aon Risk
Services. Due=20 to the size, scope and quality of
our = physician=20 panel, in some cases premiums
have = been=20 reduced up to thirty percent.
Provider and=20 Staff Education
The = WHC-PHO=20 provides a variety of educa-
tional=20 resources for member physicians and their
staffs. On a=20 monthly basis, we
sponsor=20 in-service sessions pre-
sented by=20 representatives
of = the major=20 WHC-PHO contracted health
plans,=20 providing the office staffs of physician
members an=20 opportunity to learn about each
plan = and its=20 operational practices in great detail.
This = past year,=20 we offered specialty-specific CPT
coding=20 seminars, and sessions pertinent to
preparation for=20 compliance with new HIPAA
regulations.=20
Physician=20 Referral Service
With = Washington=20 Hospital Center as a full part-
ner = in the=20 WHC-PHO, an added service to
member=20 practitioners is the Hospital Center=E2=80=99s
877-DOCS=20 physician referral line. This profes-
sional service=20 is promoted throughout the
Washington=20 metropolitan region to assist area
residents in=20 identifying, simply and
quickly, a=20 provider for the primary or
specialty care=20 they need. In addi-
tion, = the=20 service assists physicians
in = making=20 referral decisions with-
in = the WHC-PHO=20 panel.

Value-Added=20 Services
In = addition=20 to serving as a contracting vehicle for its members, the WHC-PHO=20
provides=20 many value-added services. The size and quality of our physician panel=20

WHC-PHO has=20 many strengths on which to
capitalize in=20 the coming year. In today=E2=80=99s rapidly
changing=20 environment, we anticipate that many
opportunities=20 will present themselves to the
organization.=20 During 2003 we intend to focus in
the = following=20 areas:
Contracting
Continue to=20 explore opportunities for new
global=20 carve-out contracts in additional spe-
cialty=20 areas.
Pursue new,=20 full-service agreements that meet
our = business=20 goals and philosophy.
Continue to=20 assess whether existing agree-
ments = continue=20 to meet the needs of our
member=20 physicians and take steps to renego-
tiate = or=20 terminate those that do not. Note
that = most=20 agreements were re-negotiated dur-
ing = FY 2002=20 resulting in substantial increases
to = professional=20 reimbursement.
Evaluate the=20 payment policies and procedures
of = contracted=20 health plans in order to assure
that = we are=20 being paid the rates we have nego-
tiated, and not=20 losing revenue due to plan
payment=20 policies that impact actual payments.
Evaluate=20 opportunities with other payors, and
for = additional=20 services beyond our current mix.
Operations
Continue=20 improvements in the effectiveness
of = our claims=20 administration function, includ-
ing = leveraging=20 our capabilities in specialized
payment=20 mechanisms across other MedStar
Health managed=20 care entities.
Complete the=20 software migration necessary to
maintain an=20 efficient claims processing system.
Complete the=20 migration from the existing
access-based=20 credentialing database to the
hospital=E2=80=99s new=20 ECHO database.
Continue to=20 evaluate the value of obtaining
accreditation=20 from the National Committee
for = Quality=20 Assurance (NCQA), given the cost
and = effort=20 required to obtain the designation,
while = continuing to enhance our systems such
that = such=20 designation could be achieved.

tioners abreast=20 of our activities and the chang-

Further develop=20 our physician and staff edu-
cation series=20 to ensure member compliance
with=20 contractual requirements and govern-
ment=20 regulations.
New = Initiatives=20 2003
In = the=20 coming year, WHC-PHO intends to explore and implement a number of=20 new
initiatives=20 that have been identified as priorities by our membership. We will=20 continue
to = seek to=20 grow our existing base of contracts. With our large panel of highly=20 qualified,
credentialed=20 physicians, we are able to produce economies of scale and negotiate=20
advantageous=20 contracts. We plan to analyze new opportunities=E2=80=94both=20 revenue-producing
and=20 cost-saving=E2=80=94and develop new business with a long-term = perspective.=20
The = WHC-PHO=20 operates under the direction of
a = 14-member=20 board of directors consisting of
private=20 physician members and Hospital Center
representatives=20 as specified in the bylaws. The
board = of=20 directors is divided equally into seven
Class = I=20 directors (physicians in private practice)
and = seven Class=20 II directors (Hospital-appoint-
ed). = The bylaws=20 further specify that at least two
of = the Class II=20 directors must be employees of
the = Hospital=20 and members of the WHC Medical
and = Dental=20 Staff. The Chairman of the PHO
board = of=20 directors is always a Class I director
(private=20 physician) and the Vice Chairman is
always a Class=20 II, Hospital-designated director.
The = WHC-PHO=20 requires a minimum of four
primary care=20 practitioners (PCPs) serving on the
PHO = board of=20 directors at all times. At least three
of = the seven=20 Class I directors (private physicians)
must = be PCPs=20 and at least one of the seven Class
II = directors=20 (Hospital appointees) must be a PCP.
The = Class I=20 directors are elected at the WHC-
PHO = annual=20 meeting and the Class II directors
are = appointed=20 by Washington Hospital Center.

Dr. = Howard is=20 Senior Vice President and Medical

Washington=20 Hospital Center and Vice President
of = Medical=20 Programs for the Medlantic Research
Institute. Dr.=20 Howard has held numerous hospi-
tal = and=20 administrative appointments at various
hospitals since=20 1969. He is a member of the Pro-
fessional=20 Affairs Committee of the American
Hospital=20 Association. He is currently professor of
Medicine and=20 member of the Medical Education
Committee at=20 the George Washington University
School of=20 Medicine. He has held faculty positions
at = several=20 universities since 1972. Dr. Howard has

crinology,=20 Diabetes and Lipids. He is a member
of = the Expert=20 Panel on the Detection, Evaluation

He is = Past=20 President of the Alliance of In-
dependent=20 Academic Medical Centers and con-
tinues as=20 Secretary Treasurer and a member of

Myles = P. Lash=20 is currently serving as the=20 Interim
President of=20 Washington Hospital Center. He is

Partners.L.L.C., an=20 independent health care
consulting firm=20 with offices in Washington and
Richmond,=20 Virginia. Provenance provides strate-
gic = and=20 business advisory services to hospitals,
integrated=20 delivery systems, managed care and
other = provider=20 organizations. Before the estab-
lishment of=20 Provenance, Mr. Lash was president
of = Lash group=20 and directed its provider and pur-
chaser=20 consulting division. Mr. Lash was previ-
ously = a partner=20 with Arthur Young and Com-
pany, = and=20 director of its national health care
group. Mr. Lash=20 is also a 1982 S. Hudgens
Memorial Award=20 Honoree. He received the
award = when he=20 was executive director of the
Medical College=20 of Virginia Hospitals, where he
coordinated a=20 significant hospital replacement
project in a=20 system experiencing significant prob-
lems. = His=20 success in turning the situation com-
pletely around=20 also earned him recognition as
Young = Hospital=20 Administrator of the Year.
Mr. = Lash has=20 lectured and written extensively
in = the field of=20 health administration. He was
founder and=20 later president of the University
Hospital=20 Consortium. He holds a master of hos-
pital = administration degree from the University

Leisa = C.=20 Russell is Senior Vice President of=20 Finance
and = CFO for=20 Washington Hospital Center, hav-
ing = served in=20 this capacity since 1996. From 1991
to = 1996, she=20 served in a dual role as Assistant Vice
President,=20 Finance for the Washington Hospital
Center and the=20 Medlantic Healthcare Group. Ms.
Russell has=20 been in the health care field since
1988, = when she=20 joined Medlantic as Corporate
Controller.=20 Before 1988, Ms. Russell was an audit
manager with=20 Coopers & Lybrand, an interna-
tional public=20 accounting and consulting firm. Her
clients=20 included health care and other not-for-
profit=20 organizations as well as for-profit manufac-
turing,=20 utility, high tech and retail operations. Ms.
Russell is=20 licensed as a certified public accountant,
having obtained=20 her bachelor=E2=80=99s degree in business
administration=20 from the College of William and
Mary. = She=20 serves on the Finance Committee of
the = Board of=20 the Washington Regional Transplant
Consortium. She=20 has also participated in many
civic = and=20 professional organizations, including
membership in=20 the D.C. Institute of Certified

CPAs = and the=20 D.C. Society of CPAs. She is also

Eric = R. Wagner=20 is Senior Vice President=20 for
Managed Care at=20 MedStar Health, President and
Executive=20 Director of the WHC Physician-
Hospital=20 Organization, and President of Helix
Family Choice=20 (MedStar Health=E2=80=99s Medicaid
managed care=20 organization). His responsibilities
include=20 development of managed care strategy,
negotiation of=20 participation agreements, and
maintenance of=20 relationships with managed care
plans = for all=20 MedStar Health entities. In addi-
tion, = he has=20 operational responsibility for
MedStar=20 Health=E2=80=99s managed care entities and for
the = WHC=20 Physician-Hospital Organization. Mr.
Wagner chairs=20 the Finance and Operations
Committee of=20 Capital Community Health Plan.
Prior = to=20 joining the Medlantic Healthcare
Group, Mr.=20 Wagner was a Senior Manager with
Ernst = &=20 Young=E2=80=99s healthcare strategy and man-
aged = care=20 practice. He has more than 20 years of
experience in=20 the health care industry specializ-
ing = in managed=20 care strategy, development, and

The bylaws=20 of the WHC-PHO provide for the appointment of committees =

Again = this=20 year, WHC-PHO closed the year with
a = positive=20 financial balance, realizing a profit of
$80,400 for the=20 year, which represents a positive
variance of=20 $55,000 to our approved budget (see
Statement of=20 Operations).
The = positive=20 bottom line was the result of a
$160,000 gain=20 generated by settlement of the
WHC-PHO=E2=80=99s=20 Medicare risk incentive withhold
funds = with=20 CareFirst BlueCross BlueShield. This
gain = offset an=20 $80,000 operating loss on other
lines = of=20 business. The operating loss on other
lines = of=20 business was primarily a function of unre-
alized global=20 case volume from projected new
transplant=20 agreements at Washington Hospital
Center (WHC)=20 and Georgetown University
Hospital (GUH),=20 and a general decrease in car-
diovascular=20 services volumes at WHC. WHC-
PHO = planned=20 (and budgeted) to administer the
WHC = and GUH=20 transplant agreements during
FY = 2002, but=20 was prevented from implementing
agreements when=20 the existing hospital contracts
could = not be=20 transferred from the hospitals to
WHC-PHO during=20 the year.
Several other=20 items presented in WHC-
PHO=E2=80=99s financial=20 statements for fiscal 2002 also
warrant some=20 discussion.
Total = revenue=20 decreased by $8.4 million
between FY 2001=20 and FY 2002 for the rea-
sons = discussed=20 above, as well as the final
closeout of the=20 Medicare business. This is
reflected in=20 the total medical service revenue
in = the=20 Statement of Operations. Revenue was
under = budget by=20 $6.6 million dollars.
Other = income,=20 although slightly above FY
2001, = was=20 $100,000 below budget due to
lower = than=20 anticipated volumes under the
HRMI=20 relationship where WHC-PHO
serves as=20 billing agent only.
Interest income=20 was also significantly below
FY = 2002 and=20 about 30% below budget due
to = lower than=20 anticipated interest rates and
lower = cash=20 balances.
Although cash=20 (see Balance Sheet) was down
by = $1.5=20 million, this is consistent with the
decrease in=20 accounts payable, and reflects
WHC-PHO=E2=80=99s=20 efforts to collect outstanding
accounts=20 receivable and pay the PHO=E2=80=99s
providers, thus=20 reducing liabilities.
Although=20 revenue was down between FY
2001 = and FY=20 2002, expenses were similarly
down. = Medical=20 service expenses were down
$8.5 = million,=20 consistent with the decreases in
medical service=20 revenue and total revenue.
Salaries and=20 administrative expenses were
above = the FY=20 2001 level but approximately
5% = below=20 budget. This reflects manage-
ment=E2=80=99s effort=20 to add staff to meet anticipated
service needs=20 as well as more recent efforts
to = reduce staff=20 and administrative expenses.
In = summary, the=20 financial results for WHC-
PHO = for fiscal=20 2002 represent a strong opera-
tion = that is=20 weathering well general economic
conditions as=20 well as the dynamics of the health
care = market.=20 The reduction in cardiovascular
service volumes=20 at WHC during the past year

Financial=20 Position
The = WHC-PHO=20 June 30, 2002 balance sheet
reflects total=20 assets of $20.1 million compared to
$25.5 = million=20 at June 30, 2001, a decrease of
$5.4 = million.=20 This reduction was primarily the
result of the=20 close-out of WHC-PHO=E2=80=99s
Medicare risk=20 agreements and the final reconcil-
iation with=20 CareFirst. Total accounts receivable,
as of = June 30,=20 2002, were $13.6 million while
total = accounts=20 payable were $17.3 million. The
relative=20 stability in the relationship between
these = accounts=20 reflects WHC-PHO=E2=80=99s success in
collecting and=20 distributing contracted plan pay-
ments = related=20 to global services despite the
increased=20 difficulty in general of collecting pay-
ment = from=20 managed care companies. All
accounts=20 continue to be pursued aggressively by
WHC-PHO staff.=20
Cash = and cash=20 equivalents decreased $1.5 mil-
lion = during=20 fiscal 2002, which primarily was the
result of=20 accelerating payments to our member
providers.=20
At = June 30,=20 2002, the WHC-PHO balance
sheet = reflects=20 total liabilities of $19.7 million
with = accounts=20 payable equal to $17.3 million.
An = additional=20 $2.3 million is payable to partici-
